Review of the Consultation Paper on Delisting Norms
Over the past few years, the Securities and Exchange Board of India (“SEBI”) has received several suggestions from various market participants recommending review of the current regulatory framework governing delisting in India. In light of such suggestions, the SEBI Consultation Paper on Review of Voluntary Delisting Norms under the SEBI (Delisting of Equity Shares) Regulations, 2021 (“Consultation Paper”) was released on August 14, 2023 which sought to address several critical aspects of delisting, such as the reverse book building process, counter-offer mechanism, and the recalibration of floor price under the delisting regulations. In this policy paper, we discuss the proposed changes introduced by the Consultation Paper and the implication of such changes on the delisting framework in India.
